Purpose
East Stroudsburg University and Mercial intend to evaluate a university-specific ordering and delivery service currently presented as ESU Eats.
Discovery
The parties would identify stakeholders and evaluate dining operations, identity, campus-card payments, POS routing, accessibility, security, procurement, support, and delivery requirements.
Pilot definition
If discovery confirms feasibility, the parties would develop a paid Statement of Work defining locations, users, handoff zones, responsibilities, integrations, acceptance criteria, schedule, service levels, and success measures.
Commercial structure
The anticipated model includes a paid implementation and integration engagement, a recurring platform license, and agreed usage-based order or delivery fees. Exact pricing is subject to discovery and written agreement.
Third parties
Any participation by Aramark, payment or POS vendors, campus-card providers, nearby restaurants, couriers, or autonomous-delivery providers requires their separate review and approval.
Definitive agreements
No live service, system access, financial processing, or binding purchase commitment begins until authorized representatives execute the applicable master agreement, data and security terms, and paid pilot SOW.
Non-binding status
This brief records interest in continued evaluation only. Except for any separately executed confidentiality agreement, it is not a binding contract, purchase order, exclusivity commitment, or authorization to use either party's marks.
